Welcome to Gaimplan! These Terms of Service ("Terms") govern your use of Gaimplan’s website, mobile applications, and related services (collectively, the "Services"). By accessing or using our Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms
   • By accessing or using the Services, you agree to be bound by these Terms, as well as any additional terms and conditions we may provide, such as privacy and other legal notices. You must be 18 years or older to use the Services.
   • By using the Services, you represent that you are at least 18 years old.
     If you are using the Services on behalf of an organization, you represent that you are authorized to bind that entity to these Terms.
     
2. Alpha/Beta Release Disclaimer
   • Gaimplan is a continually evolving service, and we may add, modify, or remove features over time to improve your experience and deliver new functionality. You understand that portions of the Services may be experimental or released as early access features. These may contain errors or behave unexpectedly, and we disclaim any guarantees regarding their performance or availability.
   • We welcome feedback on the Services. By submitting feedback, suggestions, or ideas, you grant Gaimplan a perpetual, worldwide, irrevocable, sub-licensable, fully paid-up, royalty-free license to use that feedback in any manner, including to improve or develop our Services and in marketing or other materials. This license survives termination of your account.
   • We do not guarantee that any specific feature or functionality will always be available, and we are not liable for any changes to the Services, including their availability or performance.
3. User Accounts and Responsibilities
   • To use certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.
4. Use of the Services
   • You agree to use the Services only for lawful purposes. You may not:
     • Post or transmit any content that is unlawful, defamatory, obscene, or infringing on third-party rights.
     • Attempt to disrupt the Service or gain unauthorized access to systems.
     • Use automated means to scrape or collect data from the Service without our permission.
     • Use the Services in any way that could interfere with, disrupt, or negatively affect other users.
   • We may suspend or terminate access to the Services for any violation of these Terms or for any unlawful use of the Services. If someone makes a claim against us because you used the Services unlawfully, you will be responsible for any harm to us.
5. Third Party Connections
   
   • The Services may allow you to connect your account to third party products and services. Gaimplan does not warrant, and is not responsible for, such third party products and services or claims made about them, including availability, accuracy, security or reliability, or the actions or inactions of any third party. You must review and comply with any applicable third party terms, including any applicable privacy practices of those third parties prior to connecting your Gaimplan account to those third party products and services.Gaimplan is not responsible for any personal data you choose to share directly with third-party services.
6. Privacy
   
   • Our Privacy Notice explains how we collect, process, use, and share your personal information, including information obtained via third-party integrations such as Google Workspace.
   • By using the Services, you acknowledge and agree to the Privacy Notice.
7. Intellectual Property
   
   • All materials provided by Gaimplan through the Services, including but not limited to text, images, software, and logos, are protected by intellectual property laws. You may not use, reproduce, or distribute any part of the Services without prior written consent from us
   • All rights not expressly granted are reserved by Gaimplan.
8. Modifications to the Service
   
   • We reserve the right to modify, suspend, or discontinue the Services at any time. You agree we will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
   • We may also impose limits on certain features or restrict access without notice or liability.
9. Limitation of Liability
   
   • The Services are provided "as is" and "as available" without any warranties of any kind, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the Services are free from errors, viruses, or other harmful components, nor do we provide any warranties with respect to data loss, accuracy, reliability, or availability. Your use of the Services is at your sole risk.
10. Disclaimer of Warranties
    
    • The Services are provided "as is" and "as available" without any warranties of any kind, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the Services are free from errors, viruses, or other harmful components, nor do we provide any warranties with respect to data loss, accuracy, reliability, or availability.
11. Termination
    
    • You may cancel your account at any time. We may terminate or suspend your account or access to the Services at any time, for any reason, and without notice. Upon termination, you will cease all use of the Services. All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, and limitations of liability.
    • We are not liable to you or any third party for suspension or termination.
    • No refunds or proration will be given.
12. Governing Law
    
    • These Terms are governed by the Federal Arbitration Act and the laws of the State of California, without regard to conflict of laws principles.
13. Dispute Resolution and Arbitration
    
    • Any disputes arising from or relating to these Terms or the Services will be resolved through binding arbitration. You waive your right to a jury trial or to participate in a class action. This arbitration provision shall survive termination of this Agreement and/or the termination of your account.
14. Changes to These Terms
    
    • We may update these Terms from time to time. If we make material changes, we will provide you commercially reasonable notice. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.If you do not agree to the updated Terms, you must stop using the Services.

16. Indemnification
    
    • You agree to indemnify and hold harmless Gaimplan and its affiliates from any claims, losses, or damages, including reasonable legal fees, resulting from your violation of these Terms.

    • These Terms and our Privacy Policy constitute the entire agreement between you and Gaimplan regarding your use of the Services.
